1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of SongArc ("Service," "we," "us," or "our"), including our website at songarc.polsia.app and all related tools and features. By creating an account, uploading content, or using any part of the Service, you agree to these Terms in full. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use SongArc. If you are under 18, you represent that you have parental or guardian consent. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Your Content and Ownership Representations

SongArc allows you to upload audio files, artwork, lyrics, and other materials ("User Content") for processing into promotional video clips, lyric videos, and other outputs.

You represent and warrant that:

• You own or control all rights necessary to upload, use, and authorize SongArc to process all User Content you submit;
• Your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party;
• You have obtained all necessary licenses, clearances, and permissions from any rights holders — including but not limited to music publishers, record labels, songwriters, and visual artists — for all audio, lyrics, artwork, and other materials you upload;
• Your use of the Service and submission of User Content complies with all applicable laws and regulations.

You are solely responsible for all User Content you upload and all resulting published or exported content generated through the Service.

4. License You Grant to SongArc

By uploading User Content, you grant SongArc a limited, non-exclusive, royalty-free, worldwide license to access, store, process, transcode, and render your User Content solely for the purpose of providing the Service to you. This license does not allow SongArc to sell, sublicense, distribute, or publicly display your content for any purpose other than providing the Service.

This license terminates when you delete your User Content from the Service or close your account, except to the extent your content has already been processed into deliverables you have downloaded, or as required by law.

5. Prohibited Uses

You agree not to use the Service to:

• Upload content you do not have rights to use;
• Infringe the copyright, trademark, or other intellectual property rights of any third party;
• Upload content that is unlawful, defamatory, obscene, harmful, or violates any applicable law;
• Attempt to reverse-engineer, decompile, or otherwise extract the source code or algorithms underlying the Service;
• Use automated tools or bots to access the Service in unauthorized ways;
• Circumvent any access controls or security measures.

6. Content Removal and Account Actions

SongArc reserves the right, in its sole discretion, to:

• Block, remove, or disable access to any User Content when SongArc determines or reasonably suspects an infringement risk or violation of these Terms;
• Suspend or terminate accounts of users who repeatedly infringe or are accused of infringing copyrights or other intellectual property rights;
• Take any other action we deem necessary to protect the rights of third parties or to comply with applicable law, including responding to DMCA takedown notices.

7. Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, SongArc maintains a policy of terminating, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of copyright. SongArc may also limit access to the Service for any user who infringes the intellectual property rights of others, whether or not there is any repeat infringement.

8. Indemnification

You agree to defend, indemnify, and hold harmless SongArc, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your User Content;
• Your use of the Service;
• Your breach of these Terms;
• Any unauthorized uploads or use of content you do not have rights to;
• Any misrepresentation you make regarding ownership or authorization of uploaded content;
• Any claim by a third party that your User Content or use of the Service violates their rights.

9. Payments and Credits

SongArc operates on a credit-based system. Credits are purchased for specific output types. All sales are final unless otherwise required by applicable law. Credits do not expire but are non-transferable.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SONGARC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; OR (C) ANY OTHER MATTER RELATING TO THE SERVICE.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the appropriate courts of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.
